The GamesOn365 website and mobile applications (the "Site") are owned and operated by GamesOn (ABN: 41 661 675 207), a business name registered with the Australian Securities and Investments Commission (ASIC) under the registered business name holder 'A1 CORPORATE GROUP PTY LTD'.

These Terms of Use ("Terms") are a contract between you and GamesOn (a Melbourne-based company, "GamesOn365", the platform, or "we") and govern your access to and use of the GamesOn365 website, mobile application, content, or products and/or services (collectively, the "Site").

Please read these Terms carefully before accessing and using the Site.

1. Terms of Use

a) Acceptance of Terms. By accessing and/or using the Site, you accept and agree to be bound by these Terms, just as if you had agreed to these Terms in writing. If you do not agree to these Terms, you must not use the Site. b) Amendment of Terms. GamesOn365 may amend the Terms from time to time. All amendments will be effective upon GamesOn365's posting of the updated Terms. Your continued access to or use of the Site after the posting of the amended Terms constitutes your consent to be bound by the Terms as amended.

2. Definitions

a) "The Platform" refers collectively to the GamesOn365 website (accessible via www.gameson365.com), any associated mobile applications, software, Application Programming Interfaces (APIs), and all integrated digital services owned and operated by the business entity registered with ASIC as ‘GamesOn’. This definition encompasses all current and future iterations of the service, including but not limited to: • The AI Automation Toggle and associated scheduling algorithms. • The ‘My Team Chat’ communication interface. • The Preference Centre and internal advertising modules. • The upcoming Payment AI Agent. • All digital content, features, and functionality provided to facilitate the interaction between Players and Organisers. b) "Player" refers to any registered user of the GamesOn365 platform who uses the service to discover, join, or participate in sporting activities, matches, or leagues. This includes individuals acting as casual "Fill-in" participants or recurring team members. Players are the primary users of the AI automation toggle and are subject to the platform’s weighted reliability rating system. c) "Organiser" refers to any registered user, individual, club, or entity that utilises the platform to create, list, manage, or coordinate sporting events, teams, or leagues. Organisers are responsible for the logistical management of the games they advertise and, until the release of the Payment AI Agent, the collection and management of any "Fill-in" fees conducted outside the platform.

3. Eligibility & GamesOn365 Platform

a) Platform Role and Limitation of Liability: GamesOn365 serves as a digital intermediary to enable the organisation of social sporting leagues. We are not a party to any agreements made between Users and do not own, operate, or control any venues or leagues. GamesOn365 does not perform identity verification or vetting of any User (Organiser or Player). By using this platform, you acknowledge that we are not liable for the conduct, interactions, or safety of any participant. All Users are responsible for their own safety and for conducting their own due diligence when connecting with others. b) Eligibility Criteria. To use this Site, you must be 18 years of age or older. By using the Site, you represent that you meet these criteria. Those who choose to access the Site do so at their own initiative and are responsible for compliance with all local rules, including, without limitation, rules about the internet, data, email, or other electronic messages, or privacy to the extent such rules apply to the member. c) Non-Discrimination and Inclusion. The Platform is open to all individuals, including Players of all abilities. GamesOn365 is committed to promoting accessibility and inclusivity across all matches and leagues. We prohibit discriminatory conduct and expect all Organisers and Players to maintain an environment that welcomes participation from individuals of all backgrounds and abilities. d) Use of Membership. Your membership is personal to you, and you agree not to create more than one account. Members cannot transfer or gift single games or Organiser spots to third parties, including other members. e) Account Information. You agree that the personal information you provide to GamesOn365 at registration and at all other times will be true, accurate, current, and complete. You also agree that you will ensure this information is kept accurate and up-to-date at all times to maintain your reliability rating and ensure proper communication. When you register, you will be asked to create a password. You are solely responsible for maintaining the confidentiality of your account and password login, and you agree to accept responsibility for all activities that occur under your account.

4. Payment Processing and Security

a) Third-Party Processor: GamesOn365 utilises Stripe Payments ("Stripe") as our primary third-party payment processor. Stripe provides the enterprise-grade infrastructure required to facilitate real-time transactions for our Users. b) Accepted Payment Methods: Through Stripe’s integrated platform, Users (Players and Organisers) may process payments via major credit/debit cards, digital wallets (including Apple Pay and Google Pay), and supported local payment methods. c) Data Handling: To ensure maximum security, GamesOn365 does not store or hold any sensitive payment-related data, such as full credit card numbers or CVV codes, on its own servers. All financial data is processed directly by Stripe in accordance with their industry-standard security protocols. d) Accepted Payment Methods: By making a payment on the Platform, you agree to be bound by the Stripe Services Agreement.

5. Subscription & Payment

a) Monthly Subscription. Membership is paid on a monthly subscription basis. To use the GamesOn365 service, you must provide Stripe Payments ("Stripe") with a current, valid, accepted method of payment (a “Payment Method”). It is a requirement to have a valid Payment Method to have a user account on GamesOn365. If payment is not successfully settled, due to expiration, insufficient funds, or otherwise, we may suspend your access to the service until we have successfully charged a valid Payment Method. For some Payment Methods, the issuer may charge you certain fees, such as foreign transaction fees or other fees relating to the processing of your Payment Method. “Payment Method” means a current, valid, accepted method of payment, as may be updated from time to time. Unless you cancel your membership before your subscription renewal date, you authorise us to charge your next Monthly Subscription fee to your Payment Method. You may edit or update your stored Payment Method via our website by visiting “Profile” www.gameson365.com and selecting “Update Payment Method”. To make returning easy, we will retain your account and billing details after you cancel. Simply log in using your registered email to reactivate your subscription and pick up right where you left off, with all your previous dashboard information intact. b) Billing Cycle. The monthly membership fee will be charged on a recurring monthly basis to your Payment Method. Unless you cancel your membership before your subscription renewal date, you authorise us to charge your next month's membership fee to your Payment Method. c) Changes to the Monthly Subscription Price. We may change our monthly subscription plans and the price of our service from time to time. However, any price increases or changes to our subscription structure (e.g., changes to the Player, Organiser, or combined packages) will not apply to you any earlier than 30 days following notice to you. This gives you plenty of time to consider the change or adjust your subscription. d) Additional Fees. In addition to the fees we charge, some venues may also charge fees (e.g., an entry fee) that you will be responsible for directly. You are also responsible for all third-party charges associated with connecting and using the Site, such as internet service provider fees.

6. Subscription Billing, Failed Payments, and Account Suspension

a) Subscription Payment Obligations. To maintain uninterrupted access to the platform's premium features, users must ensure a valid payment method is linked to their account. Monthly subscription fees are processed automatically on your designated billing date. b) Grounds for Immediate Cancellation. Your access to the GamesOn365 platform will be cancelled immediately if a scheduled monthly subscription payment fails to be processed. Reasons for payment failure include, but are not limited to: • Credit Card Arrears: Insufficient funds or reaching credit limits. • Payment Method Changes: Expired cards, cancelled cards, or updated card details that have not been reflected in your account settings. • Bank Rejections: Any technical or security-related blocks placed by your financial institution. c) The “Freeze” Policy for Future Bookings. Upon a failed payment, your account will enter a restricted state. While your historical data remains saved, your future activity will be impacted as follows: • Calendar Suspension: The activity in your GamesOn365 calendar will “freeze” for all bookings scheduled past the subscription payment due date. • Booking Restrictions: You will be unable to view, join, or be automatically assigned to any new games or events until the outstanding balance is cleared. • Existing Commitments: Any games previously selected by the AI or manually booked that fall after the missed payment date will be rendered inactive or hidden from your schedule. d) Responsibility for Payment Monitoring. It is the user's sole responsibility to ensure that their payment information is current and that sufficient funds are available. GamesOn365 is not liable for any missed games, lost spots in high-demand matches, or team coordination issues resulting from an automated “freeze” caused by non-payment. e) Reactivation and Restoration of Service. To lift the freeze on your calendar and restore full platform functionality, you must: • Update your payment information (if applicable). • Successfully process the outstanding subscription fee. • Once the payment is confirmed, your calendar will be unfrozen; however, GamesOn365 cannot guarantee that previous spots in games will still be available if they were filled by other users during the suspension period. f) Notification of Failure. While the platform may attempt to send an automated notification regarding a failed transaction, the immediate cancellation and calendar freeze occur systemically. We recommend checking your “Billing” section regularly to avoid service interruptions.

7. Cancellation and Refunds

a) Right to Cancel. You have the right to cancel your monthly subscription at any time. Cancellation can be managed directly through your account settings. There are no long-term contracts or cancellation fees associated with ending your subscription. b) Service Access Post-Cancellation. Upon cancelling your subscription, your account will not be deactivated immediately. Instead: • Remaining Term: You will continue to have full access to the platform's features through to the end of the current monthly billing period for which you have already paid. • Effective Date: The cancellation will officially take effect on the day your next scheduled payment will be due. At that point, your access to your account will cease. c) General No Refund Policy. To the extent permitted by law, all subscription payments are non-refundable. GamesOn365 does not provide refunds or credits for: • Partial-Month Periods: No pro-rata refunds are offered if you choose to cancel midway through a billing cycle. • Unused Service: Lack of platform usage during a billing month does not entitle the user to a refund. d) Unplayed Games. The GamesOn365 platform is a facilitator of sporting opportunities. As such, we do not provide refunds, credits, or compensation for “unplayed games.” This includes, but is not limited to: • Games cancelled by a third-party Organiser or club. • Games the user was unable to attend. • Games that were automatically selected by the AI feature but not played for any reason. • Instances where the AI feature did not find a suitable match within a billing period. e) Statutory Rights (Australian Consumer Law). Nothing in these terms is intended to exclude, restrict, or modify any non-excludable right or remedy you may have under the Australian Consumer Law (ACL). In the event of a major service failure that cannot be rectified, our liability will be limited to the remedies provided under the ACL.

8. Peer-to-Peer Coordination and External Payments

a) Platform Role. GamesOn365 acts solely as a facilitator for sports coordination. All financial transactions regarding “Fill-in” games occur strictly between the Player and the Organiser outside of the GamesOn365 platform. b) Payment Liability. We do not process, guarantee, or hold liability for these external payments. Any refund requests or payment disputes must be resolved directly between the parties involved. c) Organiser Obligations. Organisers are solely responsible for managing and accepting Fill-in payments. In the event an Organiser cancels a game or terminates their subscription (resulting in an “orphaned” team), the Organiser is legally responsible for issuing full refunds to any accepted Fill-ins. d) User Diligence. Players are expected to practice due diligence and common sense when transferring funds externally. Payment for a Fill-in spot is made at the Player’s sole discretion.

9. Organiser Exit and Team Cancelation or "Orphaning"

a) Impact of Organiser Cancellation on Active Teams. GamesOn365 acts solely as a facilitator for sports coordination. All financial transactions regarding “Fill-in” games occur strictly between the Player and the Organiser outside of the GamesOn365 platform. • Automatic Listing Lock: Any teams or matches created by the Organiser with an ‘Active’ status will be immediately flagged as “Team Closed” "Inactive" upon the cancellation request. • Freezing of Applications: All ‘Pending’ Fill-in applications for the Organiser’s matches will be automatically declined by the Platform to prevent new Players from committing to unmanaged games. • Notification of Players: GamesOn365 reserves the right to send automated service announcements to all confirmed Players on an "Orphaned" team, notifying them that the Organiser is no longer active on the platform. • Refund Accountability: Per Section 7(c), the departing Organiser remains solely and legally responsible for manually processing full refunds for any "Fill-in" fees or team fees collected externally for games scheduled after their subscription end date. b) Successor Nomination (The "Handover" Rule). An Organiser terminating their subscription may nominate an existing Player within their team to assume the Organiser role. • Acceptance Requirements: For a handover to be valid, the nominee must accept the invitation and possess an active Organiser-level subscription with a verified Payment Method. • Transfer of Responsibility: Upon successful handover, the new Organiser assumes all logistical responsibilities for the team. • Financial Disclaimer: A handover does not absolve the original Organiser of their legal obligation to refund any external "Fill-in" fees collected prior to the handover for games they will no longer be attending.

10. The use of the AI Automation Feature (Toggle functionality)

a) Scope of the AI Automation Service. The GamesOn365 platform provides an “Intelligent AI” toggle functionality designed to streamline your scheduling experience. When enabled, the AI acts as an automated agent to: • Analyse your predefined user preferences. • Identify Fill-ins that align with those preferences. • Automatically apply for Fill-ins on your behalf. b) Activation and Full Automation. By toggling the AI feature to ‘Enabled’, you grant GamesOn365 explicit permission to make selections and commitments on your behalf. • No Manual Input: Once activated, the system operates autonomously. You will not be prompted for manual confirmation or individual approvals for Fill-ins selected by the AI. The Player AI Agent operates as an agentic tool that automatically identifies and secure "Fill-in" opportunities. These matches are selected strictly based on the User’s pre-set criteria, including sport type, location, skill level, and availability. • Continuous Operation: The AI will continue to apply for Fill-ins as they become available until the feature is manually toggled ‘Disabled’ by the user. The AI Agent's automated booking authority is strictly limited to casual "Fill-in" spots. This allows Players to be placed into individual games that require immediate vacancy fulfillment without manual intervention. • Activation Period & Preparation Window: Upon the User enabling the AI toggle button within their Preference Centre, there is a 24-hour activation window. The Player AI Agent will become fully operational exactly 24 hours after the toggle is enabled. This mandatory window serves as a Preparation Period, ensuring that Players have sufficient notice (at least 24 hours) to arrange transport, equipment, and personal schedules for any match commitments secured by the AI for the following day. • Permanent Team Membership (Manual Selection): The Player AI Agent does not automatically book Players as permanent or recurring members of a team. To become a permanent member of a specific squad, the Player must navigate to the ‘Browse Teams’ tab. In this section, the Player is responsible for manually selecting, applying for, and accepting an invitation to join a team on a long-term basis. • Daily Fill-in Booking Limits: Within the Preference Centre, Players may specify the maximum number of games they are willing to play per calendar day. • Strict Limit Adherence: The Player AI Agent is programmed to respect this cap as a hard constraint. For example, if a Player sets their daily limit to three (3) games, the AI Agent will scan and secure vacancies only until that quota is met. • Automated Prevention: Once the user-defined limit is reached, the AI Agent will automatically cease booking any additional games for that specific day, regardless of the availability of high-match opportunities. • Manual Override: This limit applies only to automated AI bookings. Players retain the right to manually browse and join additional games via the ‘Browse Teams’ tab if they choose to exceed their own pre-set limit. c) User Responsibility and Monitoring. While the AI manages the selection process, the responsibility for attendance and awareness remains entirely with the user. • Proactive Tracking: You are required to proactively monitor your schedule. GamesOn365 provides a built-in calendar for this purpose. • Schedule Awareness: It is your sole responsibility to check the GamesOn365 calendar regularly to stay informed of the Fill-ins the AI has selected for you. • Commitment: Any Fill-in selected and applied for by the AI is considered a commitment made by you. The User is subject to the Platform’s Reliability Rating and "No-Show" policies as if the booking were made manually. d) Preference Accuracy. The AI’s intelligence is based on the data and preferences you provide within your profile settings. • Setting Preferences: You are responsible for ensuring your Player preferences (e.g., time, location, skill level, frequency) are accurate and up to date. • AI Interpretation: You acknowledge that the AI will make the "best-fit" selection based on these parameters. GamesOn365 is not liable for selections that the user deems unsatisfactory if they fall within the user’s established preference criteria. e) Limitation of Liability. GamesOn365 shall not be held liable for: • Any scheduling conflicts arising from AI-automated selections. • Failure of the user to check their built-in calendar. • Any financial costs, transport issues, or missed opportunities resulting from the fully automated nature of the feature. f) Disabling the Feature. You may opt out of the AI automation at any time by switching the toggle to ‘Disabled’. • Effect of Disabling: Disabling the feature will stop future automated selections but will not automatically withdraw you from games that have already been selected and confirmed by the AI prior to the feature being turned off. These must be managed manually via the calendar.

11. Scope of the Organiser AI Agent

a) Automated Approvals: When an Organiser enables the "Organiser AI Agent" toggle, they grant GamesOn365 explicit permission to act as an automated proxy to manage game vacancies. The AI Agent will automatically approve applicants who meet the match criteria without requiring manual oversight from the Organiser. b) Conflict Verification: To ensure match quality, the Organiser AI Agent performs a real-time calendar conflict check on the applying Player. An applicant will only be auto-approved if they have no overlapping game commitments on the GamesOn365 Platform. c) Subscription Dependency: Access to automated approvals is strictly tied to an active subscription. Should an Organiser’s subscription be cancelled or lapse, the AI Agent functionality will be immediately blocked, and all subsequent applications will require manual approval. d) Disabling the Feature: An Organiser may toggle the AI Agent to ‘Disabled’ at any time. This action ceases all future auto-approvals immediately. Any applications received after the toggle is disabled must be managed manually.

12. AI Agent Visibility and Transparency (Badging)

To ensure clear communication between all parties, the Platform utilizes specific digital identifiers: • Organiser Dashboard ("AI Auto Approved"): When a vacancy is filled by the AI Agent, the successful applicant will be marked with an "AI Auto Approved" badge. This indicates to the Organiser that the Player has been vetted for calendar conflicts and meets the match criteria. • Player Dashboard ("AI Auto Applied"): When the Player AI Agent submits an application on a user’s behalf, the specific match listing will display an "AI Auto Applied" badge. This allows the Player to easily distinguish between their manual selections and those made by their AI Agent.

13. ‘Play As You Go’ Terms

The Play As You Go plan is available to Players, Organisers and Venue Managers who prefer flexibility without a monthly commitment. The following terms apply to all Play As You Go users: a) Purchasing Credits. • Credits can be purchased at any time by selecting a credit pack that suits your needs — Starter, Regular or Power. • A custom credit amount is also available for users who require a specific number of credits. • Credits never expire and additional credits can be purchased at any time from your account dashboard.. b) Using Credits. • All platform actions are charged at a flat rate of 2 credits per action regardless of whether you are acting as a Player, an Organiser, or a Venue Manager. • AI autopilot and auto-approval features are available to Play As You Go users and are charged at the standard rate of 2 credits per action. c) Refunds. • Purchased credits are fully refundable. • Reward credits are non-refundable under any circumstances. • The refundable amount is calculated as total credits minus any reward credits earned. • Where a Play As You Go user switches to a monthly subscription, all remaining purchased credits will be refunded in full via Stripe during the transition. d) Suitability. • The Play As You Go plan is designed for casual Players, first time users and anyone who wants to try the platform before committing to a monthly subscription. • Users may upgrade to a monthly subscription at any time from their account dashboard.

14. ‘Play As You Go’ Credits, Deductions and Refunds

a) Credit Deductions. Credits are only deducted from Play As You Go accounts. Monthly subscribers on either side are not charged credits as their subscription covers all platform activity. The following actions will result in a credit deduction: • When a booking is approved, both the Venue Manager and the Organiser on a Play As You Go plan will each be charged 2 credits. • A Player applying for a fill-in spot will be charged 2 credits. • An Organiser posting a fill-in request will be charged 2 credits. • Venue slots are auto-generated by the platform and publishing a slot does not incur any credit charge for the Venue Manager. b) Credit Refunds. Refunds are issued automatically based on the following triggers. • When the Venue Manager cancels an approved booking, the Organiser will receive an immediate refund of 2 credits. The Venue Manager's 2 credits are forfeited. • When an Organiser cancels an approved booking, the Venue Manager will receive an immediate refund of 2 credits. The Organiser’s 2 credits are forfeited. • Where a Venue Manager deletes an entire slot, each approved Organiser will receive an immediate refund of 2 credits. • When a monthly Venue Manager cancels their subscription, each Organiser with a future approved booking will receive a refund of 2 credits per booking at the end of the current billing period. • When a Play As You Go Venue Manager cancels their account, each Organiser with a future approved booking will receive an immediate refund of 2 credits per booking. • When a Venue Manager switches from Play As You Go to a monthly subscription, each Organiser with a future approved booking will receive a refund of 2 credits per booking during the transition. • When a Play As You Go user switches to a monthly subscription, all remaining purchased credits will be refunded in full via Stripe Payments. c) Non-Refundable Circumstances. No credit refund will be issued in the following circumstances. • When a Venue Manager cancels an approved booking, the Venue Manager forfeits their 2 credits with no refund issued. • When an Organiser cancels their own approved booking, the Organiser forfeits their 2 credits with no refund issued. • When a pending application is rejected by the Venue Manager or withdrawn by the Organiser, neither party is charged and therefore no refund is applicable. • When a Venue Manager's subscription ends, the Venue Manager forfeits any credits charged against approved bookings.

15. Venue Manager & Booking Terms

a) Creating a Venue. By creating a venue on GamesOn365, the Venue Manager agrees to provide accurate details including: • Venue name and sport type • Court details and address • Operating hours and booking horizon Upon creation, the system will automatically generate available booking slots for all active courts based on the operating hours provided. b) Posting Availability Slots. • Venue Managers on a monthly subscription can publish availability slots at no additional cost. • Venue Managers on a Play As You Go plan will be charged 2 credits per slot published. • Slots will include a start and end time, price per hour, and sport type. • Venue Managers are responsible for ensuring all slot details are accurate and up to date. c) Reviewing and Managing Applications. • Venue Managers will receive Organiser booking applications via the Pending Bookings dashboard. • Venue Managers are responsible for reviewing and responding to applications in a timely manner. • Upon approval, the Organiser will be notified, and a calendar entry will be created for both parties. d) Approving Booking. Upon approval of a booking: • Play As You Go Venue Managers and Organisers will each be charged 2 credits immediately. • Monthly subscribers will not incur any credit charge. • A confirmed calendar entry will be created for both the Venue Manager and the Organiser. • Venue Managers must ensure they only approve bookings they can honour. e) Rejecting a Booking. • Venue Managers reserve the right to reject any Organiser application. • No credits will be charged to either party upon rejection. • Organisers who have been rejected may re-apply to the same slot if availability remains. f) Cancelling an Approved Booking. Venue Managers may cancel an approved booking (outside the 24-hour lock) subject to the following conditions: • The 24-Hour Lock: Neither the VENUE MANAGER nor the Organiser may cancel or withdraw from an Approved Booking within 24 hours of the scheduled start time. Cancellations cannot be made within 24 hours of the slot start time. • Upon cancellation, the slot will remain active and immediately available for re-booking. • The Organiser will receive an immediate refund of 2 credits. • The Venue Manager's 2 credits are forfeited and will not be refunded. • Calendar entries will be cancelled for both parties. • Where an Organiser had a fill-in request linked to the cancelled slot, the cancellation will cascade accordingly. • Organisers will be notified via the platform and will see an amber Re-apply card on their dashboard. g) Cancelling an Entire Slot. Venue Managers may permanently cancel an entire availability slot (e.g., due to facility maintenance) subject to the following: • The slot will be deactivated and will no longer be visible to Organisers. • All approved Organisers will each receive an immediate refund of 2 credits. • All Organisers impacted due to the cancelation will be notified immediately. • The 24-hour cancellation lock applies, and slots cannot be deleted within 24 hours of the slot start time. h) Credit Policy for Venue Managers. • Play As You Go Venue Managers will be charged 2 credits per slot published at the time of slot creation. • If a batch slot creation partially fails, credits will be automatically restored for any failed slots only. • Monthly Venue Managers will not incur credit charges for publishing slots. • Reward credits are non-refundable. • The refundable credit amount is calculated as total credits minus reward credits. i) Subscription Cancellation. Upon cancellation of a Venue Manager subscription: • Monthly Venue Managers. All Organisers with future approved bookings will receive a refund of 2 credits per booking at the end of the billing period. • Play As You Go Venue Managers. All Organisers with future approved bookings will receive an immediate refund of 2 credits per booking. • Where a Venue Manager switches from Play As You Go to a monthly subscription, all Organisers with future approved bookings will be refunded 2 credits per booking during the transition. j) Organiser Self Cancellation. • Where an Organiser cancels their own approved booking, their 2 credits are forfeited and will not be refunded. • The Venue Manager will receive an immediate refund of 2 credits. • The slot will become immediately available for other Organisers to apply. • This policy is in place to encourage commitment and reliability across the GamesOn365 community. k) General Obligations. Venue Managers always agree to the following: • Provide accurate and up to date venue and slot information on the platform. • Comply with all GamesOn365 community standards and platform policies. • Acknowledge that GamesOn365 is a facilitation platform and accepts no responsibility for disputes, cancellations or conduct occurring at the venue.

16. The GamesOn365 Referral Program

a) Program Overview. The Referral Program allows existing members ("Referrers") to earn subscription credits by inviting new Players or Organisers ("Referees") to the Platform. This process is managed exclusively through the ‘Referral’ Tab on your Account Dashboard. b) Referral Limits and Mechanics: • Invitation Cap. Each User may invite a maximum of five (5) new contacts (friends) via the Referral Tab. • Conversion Requirement. A referral is considered successful ("Converted") only when the Referee creates a new account and successfully completes their first paid monthly subscription. • The Reward. For every Converted Referral, the Referrer will receive one (1) month of credit, which will be applied to their next billing cycle. c) Lifetime Credit Cap. To maintain the sustainability of the platform, the maximum total credit a User can receive is six (6) months of free subscription over the lifetime of their membership. • Important Note on the 6-Month Cap. This total includes your initial 30-day free promotion (received upon your first sign-up). Therefore, a User can earn a maximum of five (5) additional months through successful referrals to reach the lifetime cap.

17. Availability and Allocation of Games

a) Facilitation Role. GamesOn365 operates strictly as a digital intermediary. The Platform facilitates connections by allowing Organisers to list available games, "Fill-in" spots, and team vacancies. b) No Guarantee of Availability. GamesOn365 does not own, manage, or control the games listed on the Platform. Consequently, we provide no guarantee regarding the availability, frequency, or variety of specific sports or game options. All opportunities are subject to the real-time postings and managed by Organiser members. c) Organiser Discretion. The type, quantity, and scheduling of games are subject to ongoing change. Organiser reserve the ultimate right to manage, allocate, or withdraw game options at their sole discretion. GamesOn365 acts only as the display and coordination layer for these independent decisions. d) Limitation of Liability for Cancellations: • No Liability: GamesOn365 shall not be held liable for any game cancellations, rescheduling, or "orphaned" teams. • Third-Party Responsibility: Any loss, inconvenience, or expense resulting from a cancellation is the sole responsibility of the respective Organiser, Club, or Venue. • Platform Dependency: Users acknowledge that the Platform’s utility is directly dependent on the active participation and reliability of its Organiser members, over whom GamesOn365 exerts no direct operational control. e) Dynamic Nature of Service. The Platform’s content is evolving. Users accept that game availability may fluctuate significantly based on seasonal demand, venue maintenance, and Organiser activity levels.

18. Player Safety & Due Diligence

Because GamesOn365 does not perform identity verification or vetting of its Users, your safety and security are your own responsibility. It is essential that you familiarise yourself with our Player Safety & Due Diligence Checklist found in the FAQ section of our website. Please use these resources to protect yourself and ensure a safe sporting environment for all participants.

19. Organiser Best Practice

Organisers are responsible for the logistical management and overall conduct of their games. To maintain a high standard of service, please refer to the Organiser Best-Practice Checklist found in the FAQ section of our website. Following these procedures is essential for professional game coordination and helps maintain your Organiser reliability rating.

20. Reliability and Conduct

a) Rating System. GamesOn365 utilises a weighted-average rating system, where Players and Organisers rate each other post-game. You understand that these ratings are considered User Submissions and may be made public. b) Termination or Modification. You understand and agree that, at any time and without prior notice, GamesOn365 may (1) terminate, cancel, deactivate, and/or suspend your account, any orders placed, or your access to or use of the Site, and/or (2) discontinue, modify, or alter any aspect, feature, or policy of the Site. This includes the right to terminate or modify any account before the end of any prepaid or committed period. Upon any termination, we may immediately deactivate your account and all related information and/or bar any further access to your account information and the Site. Suppose we determine that you have violated these Terms or otherwise engaged in illegal or improper use of the Site. In that case, you will not be entitled to any refund, and you agree that GamesOn365 will not be responsible for paying any such refund. You agree that GamesOn365 will not be liable to you or any third party for any termination or modification to the service, regardless of the reason for such termination or modification. c) Infringing or Fraudulent Activity. GamesOn365 does not permit copyright-infringing activities and reserves the right to terminate access to the Site and remove all content submitted by any persons who are found to be infringers. Any suspected fraudulent, abusive, or illegal activity that may be grounds for termination of your use of the Site may be referred to appropriate law enforcement authorities. These remedies are in addition to any other remedies GamesOn365 may have at law or in equity. d) “No-Show” Policy and Player Reliability. The integrity of the GamesOn365 community depends on the commitment of its Players. Organisers rely on confirmed attendees to ensure a viable and enjoyable experience for all participants. • Weighted Rating System: Every Player is assigned a reliability rating. Attending games as scheduled maintains or improves this rating. • Consequences of Non-Attendance: If a Player consistently fails to attend a scheduled game ("No-Show") without providing prior notice via the platform, their reliability score will be automatically penalised. • Account Restrictions: A significant drop in your reliability rating may lead to: • Reduced priority for high-demand game selections. • Limited functionality of the AI automation toggle. • Temporary or permanent suspension of your GamesOn365 account.

21. Assumption of Risk and Liability

a) Platform Role and Limitation of Liability: GamesOn365 serves as a digital intermediary to enable the organisation of social sporting leagues. We are not a party to any agreements made between Users and do not own, operate, or control any venues or leagues. GamesOn365 does not perform identity verification or vetting of any User (Organiser or Player). By using this platform, you acknowledge that we are not liable for the conduct, interactions, or safety of any participant. All Users are responsible for their own safety and for conducting their own due diligence when connecting with others. b) Assumption of Risk. You understand that there are certain inherent risks and dangers to participating in sport and that games may vary in intensity and skill level. By signing up for the GamesOn365 platform, you acknowledge and agree that you are aware of these risks, which include, but are not limited to, property damage, illness, bodily injury, or death. c) Responsibility for Health. You acknowledge and agree that it is your responsibility to consult with your primary care physician before participating and to determine if and how participating in any offered leagues and single games is appropriate for you. d) Injury Coverage. As GamesOn365 itself is not a venue, league, or service provider, and does not own or operate any leagues, no coverage for any expenses arising from an injury sustained in participation is provided. It is your responsibility to contact the venue directly regarding any potential coverage they may provide. e) Limitation of Liability. Subject to your rights under the Australian Consumer Law, you release, indemnify, and hold harmless GamesOn365 from any responsibility, claims, costs, expenses, damages, and liabilities arising out of or in any way related to your participation in or use of your membership, including with respect to bodily injury, illness, death, or property damage.

22. Dispute Resolution and Governing Law

a) Governing Law. These Terms shall be governed and construed in accordance with the laws of the State of Victoria, Australia, without regard to conflict of law provisions. b) Forum. You agree that any claim or dispute you may have against GamesOn365 must be resolved by a court of competent jurisdiction located in Victoria. You agree to submit to the non-exclusive jurisdiction of the courts of Victoria for the purpose of litigating all such claims or disputes.

23. Prohibited Conduct

a) You agree not to harass, threaten, disrupt, or defraud other users, members, or staff of GamesOn365 or Venues, or otherwise create or contribute to an unsafe, harassing, threatening, or disruptive environment. You also agree not to upload or send to Site users any offensive, hateful, defamatory, or otherwise inappropriate content.

24. Ownership; Proprietary Rights

a) The GamesOn365 website and mobile applications (the “Site”) are owned and operated by GamesOn (ABN: 41 661 675 207), a business name registered with the Australian Securities and Investments Commission (ASIC) under the registered business name holder ‘A1 CORPORATE GROUP PTY LTD’. GamesOn owns all rights in and to the visual interfaces, graphics, design, compilation, information, computer code, products, software (including any downloadable software), services, and all other elements of the Site provided by GamesOn365 (“Materials”). This includes all copyright, trade dress, patent rights, and trademark rights, rights under international conventions, and all other relevant intellectual property and proprietary rights, and other rights under applicable laws. For the avoidance of doubt, Materials does not include User Submissions (any content you upload, such as profile pictures, team names, or game comments). Except for any content uploaded by you (User Submissions), all Materials contained on the Site are the copyrighted property of GamesOn365 or its subsidiaries or affiliated companies and/or third-party licensors. All trademarks, service marks, and trade names used by us on the Site are proprietary to GamesOn365 or its affiliates and/or third-party licensors. Except as expressly authorised by GamesOn365, you agree not to sell, license, distribute, copy, modify, publicly perform, or display, transmit, publish, edit, adapt, create derivative works from, or otherwise make unauthorised use of the Materials.

25. Your Content and Ideas (User Submissions)

a) User Submissions and ‘My Team Chat’. • Definition: "User Submissions" refer to any content, media, or data uploaded by a User, including but not limited to profile pictures, team names, game comments, and ratings of Players or Organisers. • Unmoderated Space: The ‘My Team Chat’ is provided as a peer-to-peer coordination tool and is not moderated by GamesOn365. • Limitation of Liability: Users are solely responsible for their communications. GamesOn365 expressly refuses any responsibility for User conduct within the chat. Any correspondence that is demeaning, offensive, or inappropriate is the sole liability of the sender and does not reflect the views or responsibilities of the Platform. b) Anonymity and Responsibility. • No Privacy: Please remember that once you post a User Submission (Team Chat) (including a rating), it is not guaranteed to be private. It may be made public without any additional notice, and you should assume that everyone, including Organisers, may be able to read or see it. • Your Responsibility: You are entirely responsible for all the content you post or share on the Site. • Content Rules: Your content must be respectful and legal. You must not share anything that is illegal, hateful, threatening, or false. You also cannot share information that belongs to someone else (like copyrighted material) unless you have the legal right to do so. c) How GamesOn365 Uses Your Content. You agree that any claim or dispute you may have against GamesOn365 must be resolved. • Ownership: You keep all your original ownership rights in your User Submissions. • License to Us: By posting content, you grant GamesOn365 a worldwide, permanent, royalty-free license (permission) to use, copy, change, and exploit that content. This means we can use it to run the platform and for all our marketing and promotion, without owing you any money. • Platform’s Role: User Submissions reflect the opinions of the person who posted them and do not reflect the opinion of GamesOn365. We may choose to remove or edit any submission at any time. d) Ideas and Feedback. • Non-Confidential: Any comments, suggestions, bug reports, or ideas you provide to GamesOn365 (even via email) about improving the platform are considered non-confidential. • Our Right to Use: These ideas and suggestions become the exclusive property of GamesOn365. To the maximum extent permitted by law, GamesOn365, on behalf of itself, its suppliers, and its partners, disclaims and excludes all guarantees, warranties, terms, and conditions, including, but not limited to, implied warranties of merchantability (that the service will work as you expect), fitness for a particular purpose (that it will suit your specific needs), and non-infringement of proprietary rights. b) Functionality and Your Risk. Without limiting the above, GamesOn365 does not guarantee or represent that: • The Site, content, or services will be uninterrupted or error-free, that any defects will be corrected, or that the Site or the server making it available is free of viruses or other harmful components. • The use of the Site will be consistently correct, accurate, or reliable. • Any material or data that you download or otherwise obtain through the Site is entirely at your own risk. Once activated, the process is fully automated and requires no manual approval. You are responsible for proactively monitoring your GamesOn365 calendar; all AI-selected bookings are considered binding commitments.

a) Role of GamesOn365. GamesOn365 is a sports technology platform designed to connect Players with Organisers, Coaches, Clubs, and teams. GamesOn365 is not a venue, league, or service provider (such as a gym or fitness studio), and we are not an agent for any third-party provider. b) Responsibility for Games and Activities. All games, team sports, activities, and services offered or posted on the Site are offered and provided by third-party Organisers, Clubs, or Venues, not by GamesOn365. Those third parties also provide the descriptions and details of these games. c) Assumption of Risk. TO THE MAXIMUM EXTENT PERMITTED BY LAW, your attendance and participation in any game, activity, or team created or advertised through the Site is solely at your own risk. You acknowledge and agree that GamesOn365 shall not be liable for any action, error, or omission by any third party, including: • Any issue arising from or connected with a game, activity, or service booked through the Site. • The performance or non-performance of any third-party Organiser, Club, or Venue in connection with a sporting activity.

29. In-Platform Advertising and Third-Party Promotions

GamesOn365 may display advertisements, sponsored content, and promotional offers from third-party providers, partner venues, and sports-related brands. a) Interest-Based Targeting: To ensure the content you see is relevant and valuable, advertisements are curated based on your audience interests and the specific data provided within your Preference Centre selections. This allows the platform to connect you with venues, equipment providers, and sporting services that align with your activity profile. b) User Control and Preference Centre: You maintain control over your advertising experience. You can update or modify your interests and marketing preferences at any time by visiting the Preference Centre in your account settings. While updating these settings will refine the types of promotions you receive, you acknowledge that standard platform advertisements may still be visible. c) Third-Party Content and Liability: GamesOn365 acts as a facilitator for these promotions but does not endorse, guarantee, or assume responsibility for the products, services, or accuracy of the content provided by third-party advertisers or venues. 30. Game Reminder Notifications

To support your schedule management and maintain the reliability of matches for all participants, GamesOn365 provides an automated notification service. a) Default Opt-In: Upon the creation of a GamesOn365 account, users are automatically opted-in to receive game reminder notifications via their registered email address. These reminders are designed to provide timely updates regarding game times, venue locations, and team status. b) Right to Unsubscribe: We respect your inbox. You have the right to opt-out of these game reminders at any time. You can manage these communications by: • Selecting the ‘Unsubscribe’ link located at the bottom of any reminder email. • Adjusting your notification settings within your Account Dashboard. c) Impact of Unsubscribing: Please note that if you choose to unsubscribe from reminder notifications, you remain solely responsible for monitoring your schedule via the built-in calendar. Failure to attend a game because a reminder was not received (due to unsubscribing or email filters) will still be subject to the standard "No-Show" policy. d) Service Announcements: Unsubscribing from game reminders will not prevent you from receiving essential service communications, such as billing receipts, security alerts, or updates to these Terms and Conditions.

31. Marketing And Image Rights

a) As a condition of using the GamesOn365 platform, you acknowledge and agree that images, photographs, or video footage of your participation in any game or event connected through the Site may be used by GamesOn365 at any time to promote the platform, our community, or any similar events. This promotion may occur through any form of media, including online, social media, or print materials, without requiring further consent or compensation to you. b) If GamesOn365 intends to use your full name in conjunction with any marketing material, a member of the GamesOn365 team will always reach out to you directly to get your explicit permission before posting.
